SHRED-LOGIX TERMS OF SERVICE

Company: Shred-Logix, LLC ("Shred-Logix," "Company," "we," "our," or "us")

1. Acceptance of Terms

By accessing or using the Shred-Logix platform (the "Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, you may not use the Platform.

These Terms apply to all users, including account holders, administrators, and authorized users of subscribing organizations.

2. Description of Services

Shred-Logix provides a cloud-based software platform designed to assist shredding and service-based businesses with:

  • Scheduling and route management
  • Work order generation
  • Customer management
  • Invoicing and billing
  • Payment processing integration
  • Accounting system synchronization
  • Reporting and operational analytics

We reserve the right to modify or enhance the Platform at any time.

3. Account Registration & Security

You agree to:

  • Provide accurate and complete registration information
  • Maintain the confidentiality of login credentials
  • Be responsible for all activity under your account

You are responsible for ensuring that your users comply with these Terms.

4. Subscription Fees

Use of the Platform requires payment of subscription fees based on your selected service plan.

Subscription fees:

  • Are billed in advance
  • Are non-refundable unless otherwise stated
  • May be modified with reasonable notice

Failure to pay may result in suspension or termination of access.

5. Payment Processing

5.1 Third-Party Payment Providers

Shred-Logix integrates with third-party payment processors, including but not limited to Stripe, to facilitate credit card and ACH transactions.

Shred-Logix is not a bank, merchant acquirer, or payment processor.

By enabling payment functionality, you agree to:

  • The terms of the applicable payment processor
  • All processing fees and platform processing rates in effect at the time of transaction

5.2 Platform Processing Rates & Infrastructure Fee

Platform processing rates may include a nominal application or infrastructure component to support:

  • Secure payment processing
  • Tokenization and encrypted storage
  • PCI compliance management
  • API integrations
  • Webhook handling
  • Accounting system synchronization
  • Fraud monitoring
  • Ongoing maintenance and development of payment functionality

Such fees are considered part of the overall processing rate and may not be separately itemized.

Processing rates are subject to modification upon reasonable notice.

5.3 ACH Authorization

By enabling ACH payment functionality, you represent and warrant that you have obtained proper authorization from your customers in compliance with applicable NACHA rules and applicable law.

You are solely responsible for maintaining required authorizations and resolving payment disputes or returns.

6. Data & Privacy

You retain ownership of your business data.

You grant Shred-Logix a limited license to host, process, transmit, and synchronize your data solely for the purpose of providing the Platform.

We implement commercially reasonable safeguards to protect data but do not guarantee uninterrupted or error-free operation.

7. Third-Party Integrations

The Platform may integrate with third-party services, including accounting systems and financial institutions.

Shred-Logix:

  • Does not control third-party systems
  • Is not responsible for outages, API changes, or errors originating from third-party providers

8. Acceptable Use

You agree not to:

  • Use the Platform for unlawful purposes
  • Interfere with system integrity
  • Attempt unauthorized access
  • Upload malicious code

We reserve the right to suspend accounts that violate these Terms.

9. Intellectual Property

All software, content, and proprietary technology related to the Platform remain the exclusive property of Shred-Logix.

No ownership rights are transferred to users.

10. Disclaimer of Warranties

The Platform is provided "as is" and "as available."

Shred-Logix disclaims all warranties, express or implied, including:

  • Merchantability
  • Fitness for a particular purpose
  • Non-infringement

11. Limitation of Liability

To the maximum extent permitted by law:

Shred-Logix shall not be liable for:

  • Indirect
  • Incidental
  • Consequential
  • Special
  • Punitive damages

Total liability shall not exceed the amount paid by you to Shred-Logix in the twelve (12) months preceding the claim.

12. Indemnification

You agree to indemnify and hold harmless Shred-Logix from any claims arising from:

  • Your business operations
  • Your customer disputes
  • Improper ACH authorizations
  • Regulatory violations
  • Misuse of the Platform

13. Termination

Either party may terminate the subscription upon notice.

Upon termination:

  • Access will be revoked
  • Outstanding balances remain due
  • Data export options may be provided for a limited time

14. Governing Law

These Terms shall be governed by the laws of the State of Michigan, without regard to conflict of law principles.

15. Modifications

We reserve the right to update these Terms at any time. Continued use of the Platform after notice constitutes acceptance of revised Terms.
